Terms of Service

Welcome to ZelaVerse (the "Services") — a sole-operator software studio operated by Zela from Alberta, Canada. These Terms of Service (the "Terms") are a legally binding agreement between you ("you" or "User") and Zela / ZelaVerse ("ZelaVerse", "we", "us", or "our"). By accessing, installing, inviting, or otherwise using any ZelaVerse service — including our website, Discord bots, and web applications — you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are

ZelaVerse is operated as a sole proprietorship in the Province of Alberta, Canada. All services are provided by a single operator. Contact for legal and support matters: ask@zelaverse.com.

2. Eligibility

You must be at least 13 years old to use the Services (or older where required by applicable law — for example, 16 in parts of the European Economic Area and the United Kingdom, or the local legal minimum for providing consent to data processing). Adult-oriented features (such as Ivar's NSFW modules or the Master Creep workflow) require you to be at least 18 years old and the age of majority in your jurisdiction. By using such features, you represent and warrant that you meet these requirements.

3. The Services

3.1 Discord bots

Our Discord bots (including Ivar, PayLux, Sedah, and Master Creep) operate within the Discord platform and are subject to the Discord Terms of Service and Community Guidelines. By inviting a bot to your server, you (as the server operator) represent that you have authority to do so and that you will ensure members are informed, where applicable, of data collected by the bot as described in the Privacy Policy.

3.2 Web applications

Our web apps (including SnuggleBase, Fieldday, and PayOffPal) are local-first: they run in your browser and store data primarily on your device using browser storage (localStorage, IndexedDB, or equivalent). We generally do not see, receive, or have the ability to access this data. Certain features (for example, AI assistance in Fieldday or PayOffPal) may transmit a specific request to a third-party service on your behalf — this is described in-app and in the Privacy Policy.

3.3 PayLux & money

PayLux facilitates peer-to-peer transfers of points backed by real-money top-ups and withdrawals processed via PayPal or other third-party payment processors. We are not a bank, a money-services business under Canadian federal regulation, a broker, or a custodian. All payment rails are operated by the respective third-party processors and are subject to their own terms. You are responsible for any taxes associated with your transactions.

4. Your account and account security

Most Services do not require you to create a ZelaVerse account. Where you use Discord to access our bots, your account is your Discord account and is governed by Discord. Where our web apps use a local PIN (for example, SnuggleBase), that PIN is stored only on your device and we cannot recover it for you.

You are solely responsible for (i) the security of devices on which our Services run, (ii) the actions taken by users with access to those devices, and (iii) any third-party service you connect.

5. Acceptable use

You agree not to:

• Use the Services in violation of any applicable law, regulation, or third-party rights;
• Use the Services to harass, threaten, defraud, or harm any person;
• Use the Services to distribute malware, spam, phishing content, or unlawful material, including child sexual abuse material (CSAM) or content that sexually exploits minors — which is strictly prohibited and will result in immediate termination and reporting to the relevant authorities;
• Attempt to interfere with, disrupt, reverse-engineer, decompile, or gain unauthorized access to the Services or their infrastructure;
• Use automated means (scrapers, bots, etc.) to access the Services in a manner that adversely affects performance, except via our documented interfaces;
• Resell, sublicense, or commercialize any part of the Services without our prior written consent;
• Use the Services to circumvent moderation, age gates, or payment controls.

6. User content

You retain ownership of any content you submit through the Services ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, royalty-free, worldwide license to store, process, display, and transmit that content solely for the purpose of operating the Services for you (for example: relaying a message through a bot, auto-posting an approved submission to a channel you designated). We do not claim ownership and do not use User Content for training machine-learning models. You are responsible for the legality and accuracy of your User Content.

7. Fees, subscriptions, and refunds

Some Services or features may require payment (for example, Fieldday Starter/Pro plans, or PayLux point top-ups). Prices are displayed in the applicable Service at the time of purchase and may be updated prospectively.

• Subscriptions (e.g. Fieldday) renew automatically until cancelled. You may cancel at any time; access continues until the end of the current billing period.
• Trials convert to paid unless cancelled before the trial ends.
• Refunds: other than as required by law, fees are non-refundable. We may, at our sole discretion, issue a refund for a service outage, a billing error, or a good-faith hardship request.
• PayLux balances: points are redeemable through PayLux's own withdrawal flow. Points are not legal tender, bear no interest, and are subject to review for fraud or policy violations.
• Taxes: prices may be exclusive of applicable GST/HST or other taxes, which will be added where required.

8. Third-party services

The Services integrate with or rely on third-party platforms (including Discord, PayPal, hosting providers, and AI model providers). We are not responsible for third-party services, their availability, or their terms. Your use of them is governed by those providers.

9. Intellectual property

The Services, including all source code, interfaces, logos, branding, artwork, and content (excluding User Content) are owned by or licensed to ZelaVerse and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services in accordance with these Terms. No other rights are granted.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. ZELAVERSE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA STORED OR TRANSMITTED THROUGH THE SERVICES WILL NOT BE LOST, CORRUPTED, OR DELAYED. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTIES, CONDITIONS, OR REMEDIES IMPLIED BY LAW THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED (INCLUDING UNDER THE CONSUMER PROTECTION ACT (ALBERTA) OR EQUIVALENT LEGISLATION IN YOUR JURISDICTION).

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ZELAVERSE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ZELAVERSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ZELAVERSE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO ZELAVERSE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CA$100). THIS LIMITATION APPLIES IN AGGREGATE TO ALL CLAIMS.

12. Indemnification

You agree to defend, indemnify, and hold harmless ZelaVerse from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or any law; or (d) your violation of any third-party right.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we decide to discontinue a Service. Sections 5 through 16 survive termination.

14. Changes to the Services or Terms

We may update the Services or these Terms from time to time. Material changes will be communicated by posting an updated version on this page with a new "Last updated" date and, where reasonable, by in-Service notice. Continued use of the Services after changes take effect constitutes acceptance.

15. Governing law and dispute resolution

These Terms and any dispute arising out of or related to them or the Services are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to mandatory consumer-protection laws in your place of residence, you agree that the courts located in Calgary, Alberta, Canada have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or related to these Terms or the Services, and you irrevocably submit to the personal jurisdiction of those courts.

16. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and ZelaVerse regarding the Services.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
• No waiver. Our failure to enforce any right is not a waiver of that right.
• Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
• Notices. Notices to ZelaVerse must be sent to ask@zelaverse.com. Notices to you may be provided in-Service or to an email address you have given us.
